This agreement has a simple purpose: to tell you who Otta O is, which creations you can make freely, which things need a quick check-in with Official first, and how Official will stand with you when your work keeps getting better.

May it feel like a fish biscuit split in half: one half for you, and one half for this soft little otter.

1. Meet Her First: Who Is Otta O?

Otta O is a curious and innocent little girl wearing an otter onesie. She is round, short-armed, short-legged, and has a big tail. With fish biscuits, soft hugs, and the phrase "Pujiu O~", she accompanies everyone who is trying hard at life and sometimes gets tired too.

Before creating, please remember the following two things.

2. Co-creation Philosophy: Open by Default, Protected Together

1. Fan creations are open by default. Anyone may create non-commercial works based on Otta O without applying one by one. This clause, together with Section 3, forms the non-commercial license granted by Official to all creators. This license is non-exclusive, non-sublicensable, and revocable by Official under this agreement.
2. Openness does not mean no boundaries. All creations must follow this agreement, especially the child-image safety red lines.
3. Official reserves the right of canon. Final confirmation of the main world story, permanent characters, and major settings rests with Official. You may freely interpret her daily life, but please do not rewrite her life for her.
4. Official is the canon center, not the traffic center. We sincerely welcome creators whose fan counts grow beyond the official accounts. That is exactly the meaning of co-creation. You help bring her to more people; Official makes sure she always remains herself.
5. Rules are transparent, and decisions can be appealed. For any decision involving your rights or interests, such as violation findings or cancellation of certification, you have the right to understand the reason and may appeal under Section 10.

Additional notes:

• Official will withdraw or restrict a creator's permission to use Otta O's image and settings only when the creator violates this agreement, crosses red lines, impersonates Official, makes unauthorized commercial use, harms Otta O's image, or creates legal risk.
• Withdrawal generally applies to violating content, violating accounts, violating commercial projects, and future use. It does not automatically affect previously published compliant non-commercial content that followed the rules in effect at the time of publication, except for zero-tolerance red lines, illegal or non-compliant content, or major brand-safety risks.

3. Three Creator Tiers

L1 · Open Creator (Everyone)

How to join: No application is needed. You may begin creating after reading this agreement.

What you can do: You may create non-commercial posts, videos, emoji packs, avatars, wallpapers, audio, fan stories, cover adaptations, and similar content. You may build your own fan-creation account and grow your own audience.

Earnings: Platform-native earnings belong to you. See Section 4, "Earnings and Commercialization Boundaries."

L2 · Certified Creator

Application requirements (meet any one of the following, with no Level 2 or higher violation record in the past six months):

• Reaching a certain follower level on one platform or across the whole network
• Publishing at least 30 Otta O-related works in total with good performance
• Having outstanding content quality and receiving a direct invitation from Official

You will receive:

• Priority access to official creation material packs
• An "Otta O Certified Creator" mark, with record and display on the official website
• Reposts, co-posts, and similar support from official accounts
• Priority participation in official activities and milestone projects
• Priority recommendation for commercial collaboration opportunities
• Attribution and copyright confirmation mechanisms when new settings are adopted by Official (see Section 6)

You need to promise:

• Sign the Certified Creator Agreement
• Maintain a basic update frequency and content quality, as specified in that agreement
• Not use certified status for any unauthorized commercial endorsement
• If you cross a zero-tolerance red line, Official has the right to immediately cancel certification and terminate your permission to use the image. You still retain copyright in your own original expression as provided by law, but may no longer continue using Otta O's image or settings in any form.

L3 · Commercial Partner

Applicable scenarios: Brand collaborations, physical merchandise development and sales, commercial advertising, livestream commerce, institutional virtual streamer operations, game and app development, publications, offline commercial events, and other high-commercial-value scenarios.

Cooperation model:

• Project-based discussion and a written authorization contract. Common models include "license fee + sales share" and "one-time project authorization." The specific arrangement is subject to the contract.
• A commercial authorization contract includes the authorizing party, authorized content, types of authorized rights, scope of authorization, usage scenarios, territory, term, exclusivity, sublicensing permission, license fee and revenue-share method, payment milestones, invoices and taxes, sample review, content review, quality control, after-sales responsibility, breach liability, dispute resolution method, and related terms.

Special note: For commercial projects initiated or joined by certified creators, Official will provide priority support and scheduling. We want to win together with you, not appear only after you have grown.

4. Earnings and Commercialization Boundaries (Important; Please Read Fully)

Allowed by Default Without Separate Authorization

• Platform official creator incentives and traffic revenue sharing, such as creator revenue programs and mid-form video programs
• Voluntary audience tips, charging/support features, and livestream gifts, provided the livestream content itself complies with this agreement
• Platform activity and task rewards
• Organic follower growth and indirect earnings brought to your own account by fan-creation content

How to Identify Commercial Activity

• Commercial advertising and sponsored deals refer to content in which a creator, because of cooperation, commission, affiliate return, gifted products, service exchange, or other benefit arrangements from a brand, merchant, or third party, creates, publishes, pins, reposts, or verbally promotes specific products, services, brands, or activities under the cooperation arrangement or reasonable commercial expectations.
• Creator incentives, traffic revenue sharing, voluntary audience tips, charging/support features, livestream gifts, and platform activity rewards obtained only through platform mechanisms are not considered sponsored deals.
• Voluntary sharing without any consideration, cooperation arrangement, affiliate link, or exclusive coupon code is not considered a sponsored deal.

Dedicated Channel for Conventions and Small-batch Merchandise

• Free giveaways: For a single production run of no more than 500 pieces, email the item category and quantity in advance for reporting.
• On-site convention sales (fan zines, stickers, small merchandise, etc.): If the production quantity for a single event is no more than 300 pieces/copies and estimated sales are no more than RMB 10,000, simplified email reporting in advance is enough. Include the event name, category, and quantity. No contract and no fee are required.
• If the above scale is exceeded, if you operate ongoing online-store sales, or if you entrust a third party with mass production for sale, it is physical merchandise sales and requires L3 authorization.
• Reporting method: Email taxiaoo@qq.com with "Convention Report" in the subject. Official will reply within 3 business days. If a creator has reported in advance as required, and the content, category, and quantity comply with this agreement, then if Official raises no objection within 3 business days, the report is deemed complete. However, completion of reporting does not authorize out-of-scope sales, ongoing sales, or third-party mass production.

Additional notes:

• "Single-event production quantity" means the total quantity of all Otta O-related fan goods for that event, not the quantity of a single SKU. Fan zines are counted by copy; sticker packs, charms, badges, and similar items are counted by actual sales unit.
• "Estimated sales" means total sales revenue before tax deduction or cost deduction.
• Small leftover stock after a convention may be handled once through the original reporting channel within 30 days after the event. Ongoing online-store sales are not allowed.
• Do not split the simplified channel into multiple batches, accounts, or booths to avoid quantity or amount limits.
• Third-party production is limited to ordinary sampling or small-batch production. Platform-based, factory-scale, or long-term inventory production is not allowed.

Commercial Activity Tier Rules

Creator interest protection (commercial lead protection):

• Whoever reports it executes it: If a brand reaches you first for a sponsored deal and you report it, you remain the default executor. Official will not transfer it to another creator and will not bypass you to take the client directly.
• Money flows on two lines: The usual structure is that the brand signs an IP authorization contract with Official (the license fee belongs to Official), and the brand signs a content production or promotion service contract with you (the service fee belongs to you). The specific structure and revenue-share ratio are subject to the case-by-case agreement.
• Response time: For commercial reports, Official will provide an acceptance reply within 3 business days and a review conclusion within 5 business days. If Official has not replied after more than 5 business days, that does not affect the creator's priority over the reported commercial lead. If a project is lost because Official failed to process it for a long time without reasonable cause, the creator may ask Official to explain the reason and apply for reconsideration.
• Additional notes:
  • The commercial lead protection period is 6 months from the date Official accepts the report. Protection is limited to the same brand, same product line, same communication theme, or the same commercial cooperation extended from that reported lead.
  • During the protection period, Official may not bypass the reporting creator to arrange another similar executor unless the brand expressly requests in writing to replace the executor, the creator cannot perform, the creator's quotation is clearly unreasonable, the content proposal does not meet brand or official review requirements, or the project has legal or brand-safety risks.
  • If objective reasons prevent the reporting creator from executing the project but the project is eventually launched, Official should first seek participation opportunities for the reporting creator. If the project is mainly achieved based on that creator's lead, an introduction fee or compensation mechanism may be separately agreed.

Absolutely Prohibited in All Circumstances

• Registering or applying for trademarks, company names, or domain names related to Otta O
• Signing contracts, charging fees, or soliciting business externally in the name of Official
• Using the image for illegal, fraudulent, gambling-related, or other legally prohibited scenarios

5. Tone Protection and Creative Red Lines

Otta O's vitality comes from her consistent gentleness. The following lists help you judge the direction.

Encouraged Directions (Please Create Freely)

• Everyday healing
• Slightly confused moments
• The drop and recovery of otter confidence
• Quiet companionship
• Life milestones
• Light comedy
• Interactive content

Not Recommended Directions (May Receive an Official Reminder Depending on the Situation)

• Cold, scheming, or sarcastic character settings
• Mean-tongued roast-style characterization
• Overly mature or overly clever "life mentor" portrayals
• Mocking, ridiculing, or intentionally hurting others
• Content full of aggression, confrontation, or strongly negative emotions
• Pulling her into online fights, controversy, or taking sides on disputed topics

Zero-tolerance Red Lines (Directly Enter Violation Handling)

• Violent or bloody content
• Borderline sexual, suggestive, or sexualized expression
• Improper gaze, implication, or distorted expression involving a child image
• Using Otta O in goods, scenarios, or communication contexts unsuitable for a child image
• Any content that may seriously harm her innocent, clean, and healing image

Otta O is a gentle little-girl image. Please protect her seriously together with Official.

6. Worldview and Setting Management

Free to Create

• Temporary scenes: a seaside shop in one episode, a rainy bus stop, and similar scenes
• One-episode props: a new hat, a paper boat, a new blanket, and similar props
• Temporary passersby: background characters who do not repeatedly appear or affect the main story
• Original supporting characters in your own series: You may create and repeatedly use original characters in your own fan-creation series, such as friends, neighbors, or small animals. The copyright in the original parts of those characters belongs to you. Please note, however, that they do not enter official canon, and official works are not obligated to stay consistent with them. Please also do not describe them as "official characters" or imply official recognition.

Do Not Spread as "Official Settings," and Do Not Add to Otta O Herself

• A dark past or major life-origin setting, even if labeled as fan work. Please do not give this little girl a heavy life; this directly relates to the tone baseline in Section 5.
• Official family settings
• Worldview or crossover settings bound to other IP
• Claims that any fan-created character is an "official permanent character"

Setting Submission and Adoption Mechanism

You are welcome to submit good ideas to Official. See the contact information at the end. To protect both you and Official, please understand the following rules before submission:

• Record confirmation: Please submit by email. Official will reply "received" as a record for both parties.
• No confidentiality relationship: Submission does not create confidentiality obligations. Please do not submit anything you consider a trade secret.
• No liability for similarity: Official and other creators may independently develop ideas similar to your submission. Unless Official confirms adoption in writing, similar content does not constitute infringement and does not create any payment obligation.
• Adoption requires written signature: If a character or setting is adopted by Official, we will sign a separate written document with you to clarify copyright ownership, attribution method, scope of use, and compensation, if any. Your ideas will be taken seriously and recorded in writing.

7. AI-generated Content Rules

• AI-assisted creation is welcome, but you are responsible for the final content you publish.
• Do not fake official releases, official collaborations, or official endorsements.
• Content with broken faces, deformation, or missing core symbols, such as no onesie or no big tail, should not be published.
• Regarding model training (LoRA, etc.):
  • You may use official public materials and your own fan creations to train self-use models for creating content that complies with this agreement.
  • Public distribution, sale of models or weight files, or use of models for external paid generation services requires prior official written authorization.
  • It is strictly prohibited to train or distribute Otta O-related models intended to generate pornography, borderline sexual content, violent content, or other red-line content.
• AI-generated content is also subject to all red lines and tone requirements in Section 5.

8. Crossover Fan Creations / Collaborative Fan Creations

• For non-commercial purposes, users may use this IP image together with their own original characters, or with third-party characters for which they have obtained lawful usage rights or fan-creation permission, in secondary creations such as AI short videos, images, comics, story shorts, mixed edits, and similar works.
• This license is limited only to use of this IP image. It does not mean that the rights holder has obtained or granted any rights in third-party characters, works, trademarks, voices, music, materials, AI models, LoRA files, datasets, or platform content. Users should independently confirm and obtain the relevant third-party permissions. Any disputes, complaints, takedowns, claims, or legal liabilities arising from use of third-party content shall be borne by the user.
• Users must not state or imply that the rights holder of this IP has any official co-branding, cooperation, sponsorship, endorsement, or authorization relationship with any third-party IP, brand, platform, game, animation, character rights holder, or similar party, unless prior written permission has been obtained from this IP's Official.

9. Account Naming, Attribution, and Identity Statements

Account Naming and Avatars

• Do not use "Otta O" alone as the full account name, and do not use the word "official" in the account name or profile.
• If an account name contains "Otta O," the profile must include an identity note such as "fan creation" or "fan work."
• We recommend using a self-made avatar or an avatar clearly different from Official.

Prohibited Wording

Official release / Official collaboration / Official authorized merchandise / Official co-brand / Official designated / Official endorsement / Official exclusive partner, and other wording that may easily make users misunderstand it as official endorsement.

Recommended Wording

• Otta O fan creation / Otta O fan work (for all open creators)
• Otta O Certified Creator (only for L2 creators who have signed)
• Authorized content based on Otta O / Use within the authorized scope (only for those who have obtained written authorization)

The specific attribution method is subject to the actual authorization agreement.

10. Violation Handling Mechanism

Violation Levels

Report channels: official account direct message / contact email

Appeal and Reconsideration

• Within 7 days after receiving any level of handling notice, you may send an appeal email to taxiaoo@qq.com with "Appeal" in the subject, explaining the reasons and basis.
• Official will review and reply in writing within 7 business days.
• Level 1 and Level 2 handling may be temporarily suspended during appeal. Content removal involving zero-tolerance red lines or legal risk is not subject to this suspension.
• If the appeal is upheld, the corresponding handling will be revoked and the violation record cleared.

Scope of Handling

Any handling measure targets violating content, image-use authorization, and certification qualification. It does not affect the copyright you legally hold in your own original expression.

11. Official Use of Fan-created Content

• Official may repost and quote your publicly published fan-created content with creator attribution for community display and non-commercial promotion, such as official account reposts, official-site showcase of quality works, fan-creation highlight collections, and annual reviews.
• If Official needs to use your fan-created content for commercial purposes, such as merchandising, commercial advertising, or paid content, Official must obtain your consent in advance and separately agree in writing.
• You may notify Official at any time to stop reposting a specific work of yours. Official will process it within a reasonable period, except where legal records need to be retained.

12. Special Terms for Minor Creators

Creators under the age of 18 who participate in certification, commercial reporting, convention sales, authorization cooperation, earnings settlement, or any other matter that may create contractual obligations should have their guardian confirm or sign together. Official may require supplementary guardian consent materials.

13. Copyright and Legal Notes

1. The copyright, trademark rights, and related rights in Otta O's image, name, settings, and all official materials belong to Official.
2. The original expression you add to fan-created works, such as original plots, dialogue, and storyboards, belongs to you. However, the use of Otta O's image and settings within those works must continue to comply with this agreement and does not affect any of Official's rights in the IP itself.
3. This agreement is a creative conduct guideline. It does not constitute commercial authorization and does not constitute any form of cooperation commitment. Commercial authorization and cooperation are subject to a written agreement signed by both parties.
4. No person may squat or register trademarks, company names, or domain names related to Otta O. Official has completed copyright registration and trademark registration.
5. Official reserves the right to interpret and update this agreement. The update procedure is described in Section 14.

14. Agreement Updates and Transition

• For major changes involving creator rights and interests, Official will publish notice on the official website and in the creator group 15 days in advance.
• No retroactive effect: Content published before the new version takes effect and compliant with the rules at the time of publication generally does not need to be deleted or modified. Content crossing zero-tolerance red lines is not protected by this rule.
• If you continue publishing new works after the new version takes effect, you are deemed to accept the new agreement. If you do not accept it, you may stop publishing new fan-created content; already published compliant content may remain.

15. FAQ

Q1: Can I open an account and post fan creations now? Yes. You may begin as long as you follow this agreement.

Q2: I received an advertising deal, and the brand wants Otta O to appear. Can I take it? You may pursue it, but you cannot sign it yourself. Please immediately submit the brand information and cooperation content through the business channel. Official handles brand review and IP authorization signing, while you still execute the sponsored deal under commercial lead protection. It will not be transferred to someone else. You receive the content service fee, and Official receives the IP license fee. Official will give you an acceptance reply within 3 business days. Bypassing Official and privately signing with the brand is a serious violation.

Q3: I want to print a batch of Otta O stickers to give to fans for free. Is that allowed? Personal use is fine. For free giveaways of no more than 500 pieces, email the quantity and purpose in advance. If the quantity is exceeded or there is any form of sale, please use the fan-convention simplified channel or formal authorization.

Q4: I want to sell small merchandise I made at a convention. Do I need to sign an authorization contract? If the simplified channel conditions are met, meaning a single event has no more than 300 pieces/copies and estimated sales are no more than RMB 10,000, no contract is needed. Email reporting in advance is enough. If the scale is exceeded or you plan long-term online-store sales, formal authorization is required.

Q5: I meet the certification standards. Where do I apply? Send your account link and representative works to the certification application channel listed at the end, or contact the relevant person directly in the creator group.

Q6: I found someone using Otta O for borderline sexual or pirated content. What should I do? Please tell us through the report channel and include links or screenshots. We hope all of us can protect this little otter together.
